These Terms of Service (“Terms”) govern the use of managed WordPress hosting services (“Hosting Services”) provided by CLK Media Co., LLC (“CLK Media,” “we,” “us,” or “our”). By purchasing or using our Hosting Services, you (“Client,” “you,” or “your”) agree to be bound by these Terms.

If you do not agree, do not use the Hosting Services.

The Short Version

We want to be clear about what you’re getting and how our hosting works.

What we provide
We offer managed WordPress hosting on a reliable, optimized platform. We handle the hosting environment, server setup, and basic support so your site runs smoothly.

What we don’t promise
We don’t guarantee perfect uptime, speed scores, rankings, or zero downtime. Like all hosting providers, things can occasionally break or go offline, especially when third-party infrastructure is involved.

Usage limits
Each hosting plan has fair-use limits for things like storage, traffic, and server resources. If your site consistently exceeds those limits, we’ll handle it case by case. That might mean recommending an upgrade or temporarily limiting resources to keep everything stable.

Backups and restores
We include backups with all plans, but they’re best-effort and not guaranteed.

Managed Essentials plans have restore fees

Business plans include free restores

You should always keep your own backups too.

Security and malware
We secure the hosting environment, but we’re not responsible for hacks caused by outdated plugins, weak passwords, or third-party code. Malware cleanup is available, but it’s billable.

Support boundaries
Hosting support includes things like server issues, SSL help, and WordPress core problems. Plugin issues, theme edits, custom development, and SEO are not included and may be billed at $125 per hour if you want help.

Billing and refunds
Hosting is billed monthly or annually. All payments are non-refundable. Late payments have a 7-day grace period before service may be suspended.

If things go wrong
We can suspend or terminate hosting for abuse, non-payment, security risks, or policy violations. Our total liability is limited to what you paid in the last 90 days.

1. Who We Are (And What We Are Not)

CLK Media Co., LLC provides managed WordPress hosting services using third-party cloud infrastructure and hosting platforms.

We are:

  • A managed services provider
  • Responsible for managing, maintaining, and supporting your hosting environment within the scope defined below

We are not:

  • A data center
  • A network carrier
  • A hardware provider
  • A guarantor of uninterrupted service

Underlying infrastructure, networking, and server environments are provided by third-party providers and are subject to their operational limits and constraints.

Managed Essentials

Designed for small to medium WordPress sites.

Includes:

  • Managed WordPress hosting environment
  • Included backups
  • Soft resource limits
  • Billable restores
  • Standard support

Resource usage and technical limits align with our entry-level managed hosting environment and are subject to fair use.

Business

Designed for growing or business-critical websites.

Includes:

  • Enhanced managed WordPress hosting environment
  • Included backups
  • Free restores
  • Higher resource allocations
  • Priority handling

Resource usage and technical limits align with our higher-tier managed hosting environment and are subject to fair use.

3. Resource Usage & Fair Use Policy

All Hosting Services are subject to fair use.

Resources include, but are not limited to:

  • Disk storage
  • Bandwidth
  • Monthly visits
  • PHP workers
  • CPU and memory usage
  • Database activity

How We Enforce Usage

  • Limits are enforced on a case-by-case basis
  • Exceeding limits may result in:
    • Usage notices
    • Performance throttling
    • Required upgrades
    • Temporary suspension
    • Termination for repeated or abusive overuse

We reserve the right to interpret and enforce fair use at our sole discretion to protect platform stability and service quality.

4. Backups & Restores

Backups

  • Backups are included with all plans
  • Backups are provided on a best-effort basis
  • We do not guarantee the availability, completeness, or restorability of backups
  • Clients are strongly encouraged to maintain their own independent backups.

Restores

  • Managed Essentials: Restores are billable
  • Business: Restores are included at no additional cost

Restore availability, timing, and feasibility depend on system conditions and backup integrity.

5. Security & Malware

What We Do

  • Maintain a secured hosting environment
  • Apply server-level protections
  • Monitor for platform-level threats

What We Do Not Guarantee

We are not responsible for security incidents caused by:

  • Outdated plugins or themes
  • Weak or compromised passwords
  • Third-party code or integrations
  • Client-installed software
  • Client actions or omissions

Malware Cleanup

  • Malware cleanup is not included
  • Cleanup services are billable
  • We may suspend infected sites to protect platform integrity

6. Uptime & Performance

Uptime

We aim to provide a high-availability hosting environment, but uptime is not guaranteed.

There are:

  • No service credits
  • No refunds
  • No guaranteed uptime percentages

Downtime may occur due to maintenance, updates, third-party outages, or events outside our control.

Performance

We provide an optimized WordPress hosting environment.

We do not guarantee:

  • Page speed scores
  • Load times
  • SEO performance
  • Conversion rates

Performance depends on site configuration, code quality, traffic patterns, and third-party services.

7. What’s Included in Support

Included support covers:

  • Hosting environment issues
  • Server-related errors
  • SSL certificate assistance
  • DNS guidance
  • WordPress core-related issues

8. What’s Not Included (And Billable Work)

The following are out of scope and not included:

  • Plugin conflicts
  • Theme customization
  • Custom development
  • Content edits
  • SEO or ranking issues
  • Third-party integrations
  • Performance optimization beyond hosting environment

Out-of-scope work may be billed at $125 per hour, subject to approval.

9. Acceptable Use Policy

You agree not to use Hosting Services for activities that:

  • Violate any law or regulation
  • Infringe intellectual property rights
  • Distribute malware or malicious code
  • Send bulk, unsolicited, or spam email
  • Run scraping, botting, or automation tools
  • Host adult content, gambling, or high-risk material
  • Overconsume resources to the detriment of other clients

We reserve the right to suspend or terminate services immediately for violations.

10. Billing, Payments & Renewals

  • Billing is available on monthly and annual terms
  • All fees are non-refundable
  • No refunds are provided for partial periods or unused services

Late Payments

  • 7-day grace period applies
  • Services may be suspended after the grace period
  • Continued non-payment may result in termination

11. Suspension & Termination

We may suspend or terminate Hosting Services immediately for:

  • Non-payment
  • Abuse
  • Security threats
  • Legal risk
  • Policy violations
  • Repeated resource overuse

Termination does not relieve payment obligations incurred prior to termination.

12. Third-Party Services

Hosting Services rely on third-party infrastructure and services.

We are not responsible for:

  • Third-party outages
  • Infrastructure failures
  • Network interruptions
  • Acts or omissions of third-party providers

13. Limitation of Liability

To the maximum extent permitted by law:

  • CLK Media Co., LLC shall not be liable for indirect, incidental, special, or consequential damages
  • Total liability shall not exceed the fees paid by you for Hosting Services in the 90 days preceding the claim

14. Indemnification

You agree to indemnify and hold harmless CLK Media Co., LLC from claims arising from:

  • Your website content
  • Your use of Hosting Services
  • Violations of these Terms
  • Third-party claims related to your site

15. Force Majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including natural disasters, power failures, network outages, or acts of government.

16. Governing Law & Dispute Resolution

  • Governing law: Florida, United States
  • All disputes shall be resolved through binding arbitration
  • Arbitration shall take place in Florida
  • Each party bears its own legal costs unless otherwise required by law

17. Changes to These Terms

We may update these Terms at any time. Continued use of Hosting Services constitutes acceptance of updated Terms.
